Seller guide · Dubai

I received a higher offer after signing Form F for my Dubai property. Can I cancel and sell to another buyer?

Not just because the offer is higher. You and the first buyer have both signed Form F, your property sale agreement. Before the ownership transfer, a different buyer offers more. This guide covers that secondary-market resale situation.

Does the higher offer release me from Form F?

No automatic release. Dubai Land Department's published no-broker Form F template says the agreed price stays fixed despite market changes. A better offer is not permission to abandon the first sale. Your signed agreement and extra conditions need checking. Price rule, clause 16

How can I ask the first buyer to cancel?

Propose a written cancellation by agreement. The first buyer can refuse. If they agree, have a UAE property lawyer record:

  • When the first sale agreement ends.
  • How the deposit, compensation and any fees are handled.
  • Any remaining claims and the steps needed to complete cancellation.

Get both parties' signatures. A verbal promise is not enough to proceed safely.

Is returning the buyer's deposit enough?

Not necessarily. In DLD's no-broker template, seller-caused failure to transfer on time triggers a deposit refund plus compensation equal to the deposit, unless different dates are agreed. Your signed terms may differ. This describes a possible consequence of failing to complete, not a paid right to cancel. Seller default, clause 15

What does “compensation equal to the deposit” mean?

Illustration only: assume your first buyer's deposit is AED 50,000 and your contract requires compensation equal to that deposit.

  • The buyer gets their AED 50,000 deposit back, or their uncashed deposit cheque.
  • Pay a separate AED 50,000 compensation from your own funds.

The extra compensation is AED 50,000. Returning the buyer's deposit is a separate obligation. Other costs or claims are not included in this example.

Could the higher offer still leave me worse off?

Yes. Compare the extra sale proceeds with compensation, legal or agent fees and any repeated costs. Use amounts confirmed for your deal. A higher selling price does not necessarily mean more money for you.

Can I simply wait for Form F to expire?

Do not assume the date releases you. Check who caused the delay, any agreed extensions and what your contract requires. Ask your lawyer whether the agreement has validly ended before treating the property as available again.

What if the first buyer refuses to cancel?

Check whether another valid exit exists. Give your lawyer the signed Form F, extra conditions and correspondence. If there is no valid basis to end the sale, the higher offer does not remove your existing obligations.

When can I accept the new buyer's offer?

After confirming you are free to sell again. Have your lawyer confirm the first agreement has validly ended and explain any remaining obligations. Until then, tell the new buyer the first sale is unresolved; avoid signing a second binding sale agreement.
