Terms of Service

1. Acceptance of Terms
These Terms of Service (“Terms”) form a legally binding agreement between you (“you” or “User”) and Distress PORTAL (the “Platform,” “we,” “our,” or “us”), operated by Khazhimurod Khusanbaev (Dubai, United Arab Emirates). By accessing or using distress.ae (the “Service”) in any way, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. The Service
distress.ae is an online classifieds portal that enables Users to publish and view property listings in the United Arab Emirates, with a focus on urgent and below-market sales. The Platform's role is restricted to facilitating discovery and contact between buyers and sellers. The Platform does NOT:
- Broker, finalize, or otherwise take part in any real-estate transaction
- Handle any payment, deposit, escrow, or other transfer of funds
- Transfer ownership, register title deeds, or perform any function of a real-estate brokerage
- Verify or guarantee the accuracy, legality, or condition of any property listed
Any transaction between Users occurs entirely off-Platform and is the sole responsibility of the parties involved.
3. Eligibility
You must be at least 18 years old and have the legal capacity under UAE law to enter into binding contracts. If you use the Service on behalf of a company or other entity, you represent that you are authorized to bind that entity to these Terms.
4. User Accounts
The Service currently allows Users to post and view listings without creating an account. If account features (such as buyer accounts or saved searches) become available, additional terms may apply at that time.
5. Posting Listings — Your Warranties
By submitting a listing, you represent and warrant that:
(a) Authority to advertise.You are the registered owner of the property OR an authorized representative (such as a licensed broker or agent) acting on the owner's behalf with full authority to advertise the property for sale.
(b) Regulatory compliance.You have obtained any regulatory permits or authorizations required for advertising real estate in the relevant emirate. For agent-posted listings the Platform now requires the permit number at the point of submission: (i) Dubai listings require a valid Trakheesi advertising permit issued by RERA for the specific property; (ii) Abu Dhabi listings require a valid Madhmoun permit from the Department of Municipalities and Transport. The Platform performs a best-effort check that the number is real and active via the relevant authority's public lookup, but does not and cannot guarantee permit validity, scope, or your continued authority to advertise; you remain fully responsible for the accuracy and currency of every permit number you submit. Private owners advertising their own property are responsible for confirming their own compliance obligations.
(c) Accuracy. Every fact stated in the listing — including price, area, building, condition, ownership status, and photographs — is true and current to the best of your knowledge. You will update or remove the listing promptly if any fact changes.
(d) Originality of photographs. All photographs you upload are either taken by you, lawfully licensed to you, or freely usable for commercial publication. You will not upload photographs of properties that are not the subject of your listing.
(e) No third-party PII.You will not include personally identifying information of any third party (such as a former owner, a tenant, or another broker) without that person's written consent.
(f) Licence to display. By posting, you grant Distress PORTAL a non-exclusive, royalty-free, worldwide licence to host, display, modify (for display purposes), distribute, and promote your listing and accompanying media on the Platform and in marketing materials. This licence terminates when the listing is removed from the Platform, except where retained in backup archives as described in our Privacy Policy.
The Platform may review listings before publication and may decline, edit, suspend, or remove any listing at its sole discretion at any time, with or without notice.
6. Contacting Sellers and Buyers
The Service may reveal a seller's contact details (phone number and WhatsApp link) to authenticated requesters. By revealing or receiving contact details, you agree:
- Not to harvest, scrape, or otherwise collect contact information for purposes unrelated to a legitimate property enquiry
- Not to send spam, advertising, or unsolicited communications
- To respect the contacted party's right to not respond or to terminate the conversation
The Platform records that contact has been revealed (timestamp, channel, requester IP and User-Agent) for fraud prevention and analytics — see our Privacy Policy for retention.
7. Prohibited Conduct
You must not use the Service to:
- Submit listings for properties that do not exist, that you have no authority to advertise, or that contain materially false information
- Submit listings whose primary purpose is to advertise services rather than offer property for sale
- Attempt to bypass any permitting, licensing, or tax obligation under UAE law through use of the Platform
- Impersonate any person, brokerage, developer, or government authority
- Defame, harass, threaten, or discriminate against any User on prohibited grounds under UAE Federal Decree-Law 34 of 2023 (Anti-Discrimination)
- Upload viruses, malicious code, or content designed to compromise the Service or its Users
- Attempt to gain unauthorized access to any part of the Service, including administrative areas
- Use the Service for any unlawful purpose under UAE federal or emirate-level law
We may suspend or remove access without notice for any actual or suspected violation.
8. Platform's Role and Intermediary Status
Distress PORTAL operates an online classifieds portal that links buyers and sellers but does NOT participate in or finalize transactions between them. Distress PORTAL is NOT a licensed real-estate brokerage and is NOT subject to brokerage obligations under RERA. Specifically:
- Distress PORTAL does not act as your agent or representative
- Distress PORTAL does not negotiate, draft, or hold Form F MoUs (Memoranda of Understanding) on behalf of any party
- Distress PORTAL does not receive, hold, or transfer any deposit or sale proceeds
- Distress PORTAL does not perform Trustee Office transfers, title-deed transfers, or DLD registrations
- Any commission, brokerage fee, or commission-equivalent payment due in connection with a transaction is exclusively between the buyer, seller, and any RERA-licensed broker(s) engaged by them
Users are solely responsible for engaging their own RERA-licensed broker(s), conducting due diligence, drafting documentation, and completing any transaction.
9. No Warranties; Listings Provided “As Is”
The Service and all content on it (including listings, prices, photographs, descriptions, area pages, guides, and the price calculator) are provided on an “AS IS” and “AS AVAILABLE” basis. The Platform makes no representations or warranties of any kind, express or implied, including without limitation: accuracy or completeness of listing details; current availability or pricing; legal title or ownership status of any property; fitness for purpose; non-infringement; uninterrupted or error-free operation; or any specific outcome from contacting another User.
The area market statistics and price ranges published on /areas pages and via the price-estimator tool are aggregate historical data drawn from publicly available DLD records and are intended as guidance only, not a property valuation. Users must verify all figures against their own due diligence and independent professional advice before any transaction.
10. Limitation of Liability
To the maximum extent permitted by applicable law, the total aggregate liability of Distress PORTAL and Khazhimurod Khusanbaev to any User for any cause whatsoever arising out of or relating to these Terms or the Service is limited to the greater of (a) AED 100 or (b) the amount paid by the User to Distress PORTAL in the twelve (12) months immediately preceding the event giving rise to the claim. In no event shall Distress PORTAL be liable for indirect, incidental, special, consequential, or exemplary damages, or for loss of profits, revenue, goodwill, opportunity, or data.
This limitation applies even if Distress PORTAL has been advised of the possibility of such damages and notwithstanding the failure of any limited remedy of its essential purpose.
11. Intellectual Property
The Platform's name, logo, design, code, copy, guides, methodology pages, area pages, and any non-User-generated content are owned by Distress PORTAL or its licensors and are protected by UAE and international intellectual property laws. You may not copy, modify, distribute, sell, lease, or create derivative works of any Platform content except as expressly permitted in writing.
User-generated content (listings, photographs, contact-form submissions) remains owned by the User, subject to the licence granted in Section 5(f).
12. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason including suspected breach of these Terms, suspected fraud, regulatory inquiry, or operational need. You may stop using the Service at any time. Provisions that by their nature should survive termination (including Sections 9, 10, 11, 15, and 16) shall survive.
13. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, share, and retain personal data. By using the Service you acknowledge having read the Privacy Policy.
14. Modifications to These Terms
We may update these Terms from time to time. Material changes will be announced on the Platform homepage at least seven (7) days before they take effect. Continued use of the Service after the effective date of any update constitutes acceptance of the updated Terms. The current effective date is shown at the top of this document.
15. Governing Law and Dispute Resolution
These Terms are governed by the federal laws of the United Arab Emirates and the laws of the Emirate of Dubai. Any dispute, controversy, or claim arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Dubai.
16. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
17. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Distress PORTAL with respect to the Service and supersede any prior or contemporaneous communications, representations, or agreements.
